Terms of Service

1. Introduction

These Terms of Service ("Terms") are entered into by and between you and Digital Nest OÜ, a private limited company registered in the Republic of Estonia under registry code 16966549, with its registered address at Harju maakond, Tallinn, Estonia, European Union. These Terms govern your access to and use of all services provided by Digital Nest OÜ. By engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

2. Definitions

  • "Client" refers to any entity or individual who engages Digital Nest OÜ for the provision of services under these Terms.
  • "Services" refers to all services offered by Digital Nest OÜ, including but not limited to Clarity Week, MVP Build, Automation & Integration, and the Grow Retainer.
  • "Deliverables" refers to all work product, materials, code, designs, documentation, and other outputs produced by Digital Nest OÜ in the course of providing the Services.
  • "Blueprint" refers to the Product Blueprint produced during the Clarity Week engagement, which includes a detailed project scope, technical architecture, timeline, and a fixed price for subsequent development.

3. Services Overview

Digital Nest OÜ offers the following Services:

  • Clarity Week ($1,500) — A focused 5-day strategy sprint designed to transform your idea into a validated product plan. The outcome is a comprehensive Product Blueprint with a fixed development quote.
  • MVP Build (from $12,000) — Full product development from concept to launch. We design, build, and deploy your minimum viable product based on the scope defined in the Blueprint.
  • Automation & Integration (from $5,000) — Workflow automation and systems integration to streamline your business operations, connect your tools, and eliminate manual processes.
  • Grow Retainer ($3,500–$6,000/mo) — Ongoing development, maintenance, and iteration on a monthly retainer basis. Includes continuous feature development, performance optimization, and technical support.

4. Engagement Process

Every new project engagement with Digital Nest OÜ begins with Clarity Week. During this 5-day sprint, we work closely with the Client to understand their goals, validate assumptions, and produce a detailed Product Blueprint.

The Blueprint includes a fixed price for the subsequent development phase. Upon receiving the Blueprint, the Client is free to proceed with Digital Nest OÜ for development or to take the Blueprint to any third party of their choosing. There is no obligation to continue beyond Clarity Week.

5. Payment Terms

  • All prices are quoted in United States Dollars (USD).
  • Clarity Week fees are due in full prior to the commencement of the engagement.
  • MVP Build fees are structured in milestones tied to sprint deliveries. Each milestone payment is due upon successful completion and delivery of the corresponding sprint.
  • Grow Retainer fees are billed monthly in advance at the beginning of each billing cycle.
  • All invoices are due within fourteen (14) days of the invoice date unless otherwise agreed in writing.
  • Late payments may result in suspension of Services until the outstanding balance is resolved.

6. Intellectual Property

Upon receipt of full payment for the applicable Services, the Client shall own all rights, title, and interest in and to the Deliverables produced specifically for the Client.

Digital Nest OÜ retains all rights to general-purpose tools, libraries, frameworks, methodologies, and knowledge gained during the course of providing the Services. These pre-existing and general-purpose materials do not constitute Deliverables.

Digital Nest OÜ may reference the project and include general descriptions and visuals in its portfolio, case studies, and marketing materials, unless the Client has entered into a separate non-disclosure agreement (NDA) that restricts such use.

7. Confidentiality

Both parties agree to treat all non-public information shared during the engagement as confidential. Neither party shall disclose, reproduce, or use such information for any purpose other than the performance of the Services without prior written consent from the disclosing party.

A formal non-disclosure agreement (NDA) is available upon request and may be executed prior to the commencement of project discussions if either party requires additional protection.

8. Limitation of Liability

To the maximum extent permitted by applicable law, the total aggregate liability of Digital Nest OÜ arising out of or in connection with the Services shall not exceed the total fees actually paid by the Client for the specific Service giving rise to the claim.

In no event shall Digital Nest OÜ be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of data, business interruption, or loss of business opportunity, regardless of the cause of action or the theory of liability.

9. Termination

Either party may terminate the engagement by providing thirty (30) days' written notice to the other party.

The Grow Retainer may be paused or cancelled on a monthly basis. The Client must provide notice before the start of the next billing cycle to avoid charges for the upcoming month.

Upon termination, all fees for work completed up to the date of termination remain due and payable. Digital Nest OÜ shall deliver all Deliverables completed as of the termination date upon receipt of outstanding payments.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Estonia and applicable regulations of the European Union. Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of Harju County Court in Tallinn, Estonia.

11. Changes to Terms

Digital Nest OÜ reserves the right to update or modify these Terms at any time. Changes will become effective immediately upon posting to our website. Continued use of our Services following the posting of revised Terms constitutes your acceptance of such changes. We encourage Clients to review these Terms periodically.
